Alfamart Acquires Lawson Indonesia for Rp200 Billion | CNN Indonesia

PT Sumber Alfaria Trijaya Tbk (AMRT) or Alfamart Officially bought shares of PT Current Wiguna Sejahtera (Lawson) From PT Midi Utama Indonesia (Alfamidi).

AMRT acquired 1.4 billion shares of PT Current Wiguna Sejahtera shares with a transaction value of Rp200.45 billion from PT Midi Utama Indonesia Tbk or Alfamidi.

The sale and purchase transaction was delivered through the official page of the Indonesia Stock Exchange (IDX) information disclosure, Wednesday (5/14).

“The company signed a purchase of purchase deed of purchase of 1,484,855,160 shares in PT Current Wiguna Sejahtera from PT Midi Utama Indonesia with an implementation price of Rp135 per share or equivalent to a transaction value of Rp200,455 million,” said AMRT Corporate Secretary, Tomi Widian.



He explained that this transaction was not a conflict transaction so that it did not require prior approval through the General Meeting of Shareholders (GMS).

“This transaction is not a conflict of interest transactions so that it does not require prior approval from the General Meeting of Shareholders of the Company as regulated in POJK 42/2020, and does not include material transactions as stipulated in POJK 17/2020,” he added.

Previously, Alfamidi said the sale of Lawson shares to Alfamart was decided by considering the application of a more effective and efficient business strategy. The sale of these shares is expected to make the company focus on business portfolios in the field of retail trade.

“Funds obtained from transactions, can support the company’s operational funding and capital expenditure in the context of developing the Company’s business activities. After the transaction becomes effective, the Company expects to be able to improve and improve financial performance in the future, both in terms of profit and loss statements or cash flow statements, so that it is expected to provide added value for all company shareholders in the future,” Alfamidi said in an official statement, Tuesday (8/4).

As for carrying out its business activities in the field of retail trade, as of December 31, 2024 the company has operated 2,368 minimarket outlets with the Alfamidi brand, 62 supermarket outlets under the Alfamidi Super brand, and 5 fruit outlets with the MIDI Fresh brand.

While Lawson as a subsidiary, operates 374 Convenience Store outlets with the Lawson brand whose sales are mostly fast food products

Lawson’s previous shareholders were PT Midi Utama Indonesia Tbk alias Alfamidi (70 percent), PT Amanda Cipta Persada (20.34 percent), PT Cakrawala Mulia Prima (4.83 percent), and PT Perkasa Internusa Mandiri (4.83 percent).

However, now Alfamidi sells all of its shares in Lawson to Alfamart.
